Welcome to ESL Engine (“ESL Engine,” “we,” “our,” or “us“) and our website eslengine.com (the “Site“). These Terms and Conditions (the “Terms“) govern your access to and use of the Site, any associated services, and any digital products, resources, or memberships (collectively, the “Services“) offered through the Site.

By accessing or using any part of the Services you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

2. Eligibility and Users

  • By using the Services, you represent that you have the legal capacity to enter into these Terms on behalf of yourself or your organization.

4.1 Digital Lesson Resources

  • ESL Engine sells downloadable lesson plans, teaching materials, and related digital content (“Digital Resources“).
  • Licence Grant. Upon purchase, ESL Engine grants you a non‑exclusive, non‑transferable, worldwide licence to download and use the Digital Resources for your own classroom or tutoring activities only (whether online or in‑person).
  • Prohibited Uses. You may not:
    1. Resell, redistribute, sublicense, or publicly post the Digital Resources (paid or free) in whole or in part.
    2. Remove watermarks, copyright notices, or other proprietary marks.
    3. Translate, adapt, or create derivative works expressly for resale or distribution without our written permission.

4.2 Free Resources

Free resources are subject to the same licence and prohibited‑use clauses unless explicitly stated otherwise on the resource download page.

4.3 Future Memberships & Subscriptions

  • We may introduce membership tiers that provide additional or recurring access to content (“Memberships“). Where applicable, the specific Membership agreement and billing cycle will supplement—but not replace—these Terms.

5. Orders, Pricing, and Taxes

  • All prices are listed in Canadian dollars (CAD) unless otherwise indicated.
  • Prices, features, and availability are subject to change without notice.
  • Applicable sales taxes (GST/HST, provincial PST, or VAT) will be added according to your billing address and prevailing tax law.
  • Payment is processed securely through third‑party processors such as Stripe and PayPal. We do not store your full payment‑card details.

6. Delivery and Download Access

  • Immediately after a successful payment, your downloads become available through your ESL Engine account and/or a secure download link emailed to you.
  • If you experience download issues, please contact us within 14 days of purchase.

7. Refund Policy

Because Digital Resources are intangible and irrevocable once delivered, all sales are final. However, we want you to be satisfied—if a file is corrupted or you receive the wrong item, contact us within 14 days and we will replace or re‑issue the correct file at no additional cost.

8. Intellectual‑Property Rights

  • All content on the Site—including text, graphics, logos, icons, audio, video, downloads, and software—is the property of ESL Engine or its licensors and is protected by Canadian and international copyright, trademark, and other laws.
  • Nothing in these Terms grants you any ownership rights. All rights not expressly granted are reserved by ESL Engine.

9. User Contributions

  • The Site may allow you to post reviews or other content (“User Content“). You grant ESL Engine a perpetual, royalty‑free licence to use, reproduce, and display your User Content in connection with the Site.
  • You are solely responsible for the legality, reliability, and appropriateness of any User Content you provide.

10. Prohibited Conduct

You agree not to:

  1. Violate any applicable law or regulation.
  2. Infringe upon or misappropriate our intellectual‑property rights or those of any third party.
  3. Attempt to gain unauthorized access to the Site or another user’s account.
  4. Use the Site to transmit malicious software, spam, or other harmful code.
  5. Engage in any activity that interferes with or disrupts the integrity or performance of the Services.

11. Third‑Party Links & Plugins

The Site may include links to third‑party websites or integrations (e.g., payment processors). ESL Engine has no control over—and assumes no responsibility for—their content, privacy policies, or practices.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, non‑infringement, and accuracy. ESL Engine does not warrant that the Services will be uninterrupted, error‑free, or secure.

13. Limitation of Liability

To the maximum extent permitted by law, ESL Engine and its directors, officers, employees, or agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of—or inability to use—the Services.

14. Indemnification

You agree to indemnify and hold harmless ESL Engine from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (i) your breach of these Terms; (ii) your misuse of the Services; or (iii) your violation of any law or third‑party right.

15. Governing Law & Jurisdiction

These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein, without regard to conflict‑of‑law principles. You agree to submit to the exclusive jurisdiction of the courts located in Edmonton, Alberta, Canada.

16. Changes to These Terms

We may modify these Terms at any time. When we do, we will post the updated Terms on this page and update the “Last updated” date above. Continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

17. Termination

We may suspend or terminate your access to the Services, without prior notice or liability, for any reason including but not limited to breach of these Terms.

18. Entire Agreement

These Terms constitute the entire agreement between you and ESL Engine regarding your use of the Services and supersede any prior agreements or understandings.
